Definitions

Invoice: the document and any attachments describing the services or products that Daktari Project offers to the client, as well as the financial and any conditions to which the services or products will be provided that deviate from these general terms and conditions.

Client: the physical or legal person who wishes to use the services of, or buy products from, Daktari Project and where applicable is stated as such in the invoice.

Order: all services or products offered by Daktari Project as described in the invoice accepted by the client. In the absence of an invoice, the contract is the entirety of services or products offered by Daktari Project at the request of the client.

Daktari Project: Daktari Project vzw, with registered office at Kerkstraat 148, 9050 Ghent, Belgium, enterprise number: BE 0641 926 501.

Scope of application

These general terms and conditions apply to every order performed by Daktari Project. These general terms and conditions are an integral part of the agreement. Deviations can only be made in writing in the invoice.

These general terms and conditions apply to the exclusion of the general terms and conditions that apply to the documents issued by the client.

Any start of the execution of a order, without any prior express written objection, also counts as acceptance of these general terms and conditions.

Price

Unless expressly agreed in writing, the prices stated on the invoice are fixed and not adjustable.

Except where expressly stated otherwise in the invoice, all will be stated amounts are deemed to have been set excluding Value Added Taxes (VAT) in accordance with the statutory rates.

The prices in the invoice are estimates unless otherwise determined.

If transport, reservation or administrative costs are charged, this will be stated separately.

The price indication refers only to the articles as described verbatim. The accompanying photo is decorative and may contain elements that are not included in the price.

Payment Methods

The invoices are payable in cash, via bank transfer or Paypal.

Products or services will only be delivered upon receiving the full amount due.

In the event of late or non-payment, the Daktari Project reserves the right to suspend all further performance until full payment of the outstanding invoice amount has been received.

In case of event tickets, a receipt of bank transfer will be accepted as proof of payment at the entrance of Daktari Project events. If no receipt of bank transfer can be displayed upon entry, Daktari Project reserves the right to decline entrance to the event until cash payment has been made.

Data and information

Daktari Project is only obliged to (further) execute the order if the client has provided all data and information required by Daktari Project, in the form and manner as desired by Daktari Project. Additional costs incurred because the client has not provided the requested data or information, or has not provided it in time or properly, will be borne by the client.

The client guarantees the correctness, completeness and reliability of the data and information provided by or on behalf of him to Daktari Project.

Delivery and acceptance

At the completion of the order, Daktari Project will send a detailed invoice to the client.

The client has the option to notify Daktari Project of its comments regarding the execution of the client within ten (10) working days; after the expiry of this period, the invoice is deemed to have been accepted.

Acceptance of the invoice also implies recognition by the client of the proper execution of the client in accordance with all agreements made.

Complaints regarding the invoice can only be accepted if they have arrived within ten (10) working days after the date of the invoice by registered letter to Daktari Project's address. In addition, any protest must be reasoned in detail if the protest is considered non-existent.

Implementation times

The performance dates are provided for indicative purposes only. Daktari Project exists of a team of volunteers, we will try our best to deliver services and products in time, but the terms communicated are approximate only and not express.

Subject to a prior express and written agreement, any delay in the execution of the order can never give rise to a breach of the agreement, nor can it give the right to compensation.

Warranties and liabilities

Daktari Project makes no guarantees as to the originality, completeness or suitability of the services or products for a specific purpose.

Daktari Project will in no way be liable for damage in respect of the client in that regard. The client indemnifies Daktari Project on its first request against claims from third parties in this regard.

Daktari Project cannot be held liable by the client for any damage that would have arisen during the performance of the agreement if it is demonstrated that Daktari Project has executed the contract in accordance with the rules of the art and in accordance with the contract.

Except in case of intentional or serious error of Daktari Project, the total liability of Daktari Project for damage, which would have arisen from or as a result of the execution of the agreement, is in any case limited to the price that Daktari Project has received for the execution of the order from which or as a result of which the damage would have arisen.

The client indemnifies the Daktari Project against all claims from third parties are directly or indirectly related to the performance of the agreement.

Void clauses

If one of the clauses included in these general terms and conditions is found to be invalid or invalid, this will not affect the existence and validity of the other clauses.

Applicable law and disputes

Belgian law, with the exception of its provisions of private international law, applies to this agreement.

All disputes that would arise from the implementation of this agreement and all disputes regarding the interpretation of this agreement must be submitted to the courts of the Judicial District of Ghent.
